These Terms of Use (“Terms”) govern your access to and use of the Asset Signal website and any related pages, materials, demonstrations, or pre-launch content made available by Asset Signal (“Asset Signal,” “we,” “us,” or “our”).

By accessing or using our website, you agree to these Terms. If you do not agree to these Terms, do not use the website.

These Terms apply to the current pre-launch Asset Signal website. They do not constitute a customer software subscription agreement, master services agreement, data processing agreement, or other agreement governing use of a production Asset Signal software platform. If you later use a commercial Asset Signal product or service, additional terms may apply.

1. About Asset Signal

Asset Signal is developing software and decision-support technology for real estate asset management and related workflows.

The website may describe planned, experimental, prototype, beta, or pre-release functionality. Features, designs, workflows, integrations, pricing, availability, and product capabilities described on the website may change at any time without notice.

Nothing on the website constitutes a commitment that any particular feature, product, integration, or service will be released or made generally available.

Submitting a demo request does not create a customer relationship, partnership, fiduciary relationship, agency relationship, or obligation for Asset Signal to provide access to any product or service.

methodologies;
workflows;
documentation; and

Subject to these Terms, Asset Signal grants you a limited, non-exclusive, non-transferable, revocable right to access and use the website for lawful informational and business-evaluation purposes.

No other rights are granted except as expressly stated in these Terms.

10. Restrictions on use

You may not, directly or indirectly:

use the website for unlawful purposes;
interfere with or disrupt the website or its infrastructure;
attempt to gain unauthorized access to any system, account, network, or data;

ASSET SIGNAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
RELIABILITY;
COMPLETENESS;
SECURITY; AND
AVAILABILITY.

ASSET SIGNAL DOES NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE FROM HARMFUL COMPONENTS.

Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.

16. Limitation of liability

REVENUE;
BUSINESS OPPORTUNITY;

ANTICIPATED SAVINGS,

ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSET SIGNAL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED US $100.

The limitations in this section apply regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise.

Some jurisdictions do not permit certain limitations of liability, so some of these limitations may not apply to you.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Asset Signal and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising out of or relating to:

your violation of these Terms; or
your violation of another person's rights.

This section does not require you to indemnify Asset Signal for claims resulting solely from Asset Signal's own misconduct where such indemnification is prohibited by law.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the website will be brought in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts, except where applicable law provides otherwise.

19. Changes to these Terms

We may update these Terms from time to time.

When we do, we will update the Effective Date at the top of this page.

Your continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If changes materially affect your rights, we may provide additional notice where appropriate.

20. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

21. Waiver

Asset Signal's failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

22. Entire agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement between you and Asset Signal regarding your use of the public website.

If you later enter into a separate written agreement with Asset Signal covering a product or service, that agreement will control to the extent of any conflict regarding that product or service.
